Visa launches second exchange offer to unlock liquidity for Class B shareholders

The latest announcement is out from Visa ( (V) ).

Visa has launched the second phase of its program to ease transfer restrictions on Class B shares by commencing an exchange offer for its Class B-1 and Class B-2 common stock. Eligible holders can tender their restricted shares in return for a mix of newly issued Class B-3 stock, freely tradeable Class C stock subject to temporary transfer limits, and cash in lieu of fractional shares, with participation remaining voluntary.

Under the offer, each Class B-1 or B-2 share tendered will convert into specified portions of Class B-3 and Class C shares based on current conversion rates, while participating holders must sign makewhole agreements to reimburse Visa for certain future U.S. covered litigation obligations tied to the exchanged stock. The move is designed to gradually unlock liquidity for longstanding Class B investors while preserving Visa’s ability to fund litigation exposures, fine-tuning its capital structure without forcing any changes on shareholders who choose not to participate.
