Sekuro Plastik Ambalaj Sanayi A.S. has approved the sale of its 99.82% stake in subsidiary Polifilm Ambalaj Sanayi A.S. to its controlling shareholder and chairman, Murat Hakan Çil, for 4,250,000 U.S. dollars, following valuation reports to ensure the price is not below assessed values. In a parallel move, Sekuro Plastik Ambalaj Sanayi A.S. will transfer all of its tangible and intangible fixed assets, including rights, machinery, equipment, vehicles and fixtures, to Polifilm Ambalaj Sanayi A.S. for 7,000,000 U.S. dollars plus VAT, signaling a significant restructuring of asset ownership within the group that may reshape its operational and governance structure for stakeholders.

These related-party transactions consolidate key operating assets and corporate control under the chairman-linked entities, potentially altering the balance between the listed company and its subsidiary. The pricing based on independent valuations aims to address fairness concerns in dealings with the controlling shareholder, while the reallocation of assets suggests a strategic reorganization of production capabilities and legal ownership within the corporate group.
